End User License Agreement (EULA)
Terms and conditions for using the Zambezi Music Portal.
END USER LICENSE AGREEMENT

This End User License Agreement ("EULA") is a legal agreement between you ("You" or "Your") and Zambezi Music Corporation ("Company," "we," "us," or "our") for the Zambezi Music Portal software application, which includes all associated media, printed materials, and "online" or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

1. GRANT OF LICENSE.
The Software is licensed, not sold. The Company grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software strictly in accordance with the terms of this Agreement. You are granted a license to use the Software on any device that you own or control.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
(a) Maintenance of Copyright Notices. You must not remove or alter any copyright notices on any and all copies of the Software.
(b) Distribution. You may not distribute registered copies of the Software to third parties.
(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
(d) Rental. You may not rent, lease, or lend the Software.
(e) Support Services. The Company may provide you with support services related to the Software ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the Software and subject to the terms and conditions of this EULA.
(f) Compliance with Applicable Laws. You must comply with all applicable laws regarding use of the Software.

3. COPYRIGHT.
All title, including but not limited to copyrights, in and to the Software and any copies thereof are owned by the Company or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content.

4. CONTENT AND COPYRIGHT INFRINGEMENT.
You, as a content publisher, are solely responsible for the content (music, podcasts, artwork, etc.) you upload, post, or otherwise transmit via the Software. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the content you submit.

The Company respects the intellectual property of others and asks that you do the same. The Company will respond to notices of alleged copyright infringement that comply with applicable law. If you believe your copyright-protected work was posted on our platform without authorization, you may submit a copyright infringement notification.

5. TERMINATION.
Without prejudice to any other rights, the Company may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Software in your possession.

6. DISCLAIMER OF WARRANTY.
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY.
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE.

This agreement constitutes the entire agreement between you and the Company relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software or any other subject matter covered by this EULA.
